Stephanie Zarb Adami moderates webinar on Fiduciary Duties

On 28th September, Stephanie Zarb Adami, Senior Associate at Ganado Advocates, moderated the webinar “Boardrooms Under Pressure – Fiduciary Duties in Balancing Shareholder vs Company Interests”, organised by AIJA.

The webinar explored how fiduciary duties operate when shareholder demands diverge from the long-term interests of a company. Through comparative insights from multiple jurisdictions, practical case studies and real-world examples, the discussion examined where tensions commonly arise, how boards should navigate conflicts, and what constitutes sound decision-making under pressure.

Among the topics discussed was the importance of directors exercising independent judgement, including the need to question and challenge information and respond to warning signs. The discussion also considered the challenges faced by director-shareholders in balancing their ownership interests with their duties to the company, as well as the need for closer monitoring, stronger documentation and timely professional advice situations of financial distress.

The discussion also considered the role of AI in broad decision-making, including how it may raise the standard expected of boards while not replacing human judgement or accountability. Participants gained a refresher on core fiduciary concepts, a cross-border perspective on directors’ duties, and practical takeaways for advising or serving on boards.
