GANADO Advocates Collaborates with Castille Institute on M&A Training Initiative Published on June 2, 2016 GANADO Advocates was invited by Castille Institute to contribute its expertise at a one-day training session on Mergers and Acquisitions. The session provided an insider’s look into what is an undeniable major force in today’s corporate arena. Held on Thursday 2nd June at Casa Leone in Floriana, such a training initiative saw the intervention of a number of professionals from the firm’s Corporate team, who gave participants a full view of the M&A process and the ability to evaluate whether a merger or an acquisition fits their corporate strategy. During the first part of the workshop, Dr Simon Schembri and Dr Philip Mifsud delivered an introductory session on mergers and acquisitions transfer of business, delving into the types of companies involved in such deals and matters up for consideration with the various regulatory authorities, whilst elaborating on issues relative to competition, IP and data protection. Dr Matthew Brincat, from the firm’s Employment practice, joined in the discussion on due diligence and other issues, covering aspects of employment and TUPE regulations. Dr Simon Schembri and Dr Philip Mifsud also analysed the agreements that constitute a merger, acquisition and transfer of business. Dr Stephen Attard, Partner within the firm’s Corporate Finance and Tax practice, outlined the salient tax implications to be considered when contemplating or being involved in a merger, acquisition or transfer of business.
